These terms and conditions define the provisions applicable to all sales and services provided by EUROSEP Instruments to its customers.
Application area
The following terms and conditions apply to all our sales and services. They exclude any application of our co-contractors' terms and conditions of purchase, and authorize only personalized negotiation. Customer orders are binding unless we advise you otherwise within two weeks. No cancellation or modification of an order by the customer may be invoked against the company. All orders automatically imply the buyer's acceptance of the aforementioned terms and conditions of sale, notwithstanding any stipulation to the contrary in our customers' general terms and conditions of purchase.
Order
To avoid delivery errors, purchase orders must clearly specify the item number and code for each article.
- No minimum order.
- All orders between 80 and 300 Euros (excl. VAT) will be subject to a handling, packaging and shipping charge of 15 Euros (excl. VAT).
- Orders of less than 80 Euros (excl. VAT) will be subject to a handling, packaging and shipping charge of 23 Euros (excl. VAT).
Terms of delivery
FREE SHIPPING applies only to orders of at least 300 Euros (excl. VAT) within France, and only for “normal speed” deliveries. Any request for delivery outside mainland France or by “fast” means will be invoiced at the rate in force on the day of delivery, whatever the value of the order.
Prices
Prices and information given in catalogs, prospectuses, websites and price lists are indicative only. EUROSEP Instruments reserves the right to modify them at any time according to variations of any kind imposed by economic conditions, including, but not limited to, changes in customs duties, currency exchange rates, raw material suppliers' prices and terms of sale, and current pricing legislation. Price changes do not entitle the customer to cancel the order. EUROSEP Instruments is bound only by written offers, in the name of the customer, until the date of validity indicated on the said document.
Invoicing
Our invoices are issued at the price in force on the date of delivery. All disputes concerning invoices must be made within one week. Credit notes are offset when due.
Delivery packaging
The packaging of our goods is handled with the greatest care. The fact that our carriers accept to take charge of them proves that this packaging offers every guarantee of safety and is placed under their full responsibility.
Shipping
Our goods are shipped at the recipient's risk. It is therefore the recipient's responsibility to :
- To check the condition and quantity of the products on receipt, opening any packages of doubtful appearance in the presence of the delivery person.
- In the event of damage or missing items, to express reservations on the transport note.
- To reiterate his justified protest in the form and within the time limits stipulated in article L.133-3 of the French Commercial Code. Failure to comply scrupulously with these formalities shall preclude any action against the carrier.
Delivery times
Delivery times are given for information only and are not contractually binding. EUROSEP Instruments accepts no responsibility for late or partial deliveries. Under no circumstances may the customer cancel an order or claim damages, interest or compensation.ou indemnités.
Payment
Payments must be made at the domicile of EUROSEP Instruments in such a way that EUROSEP Instruments can dispose of the sums on the due date. Unless otherwise expressly agreed in writing, payments must be made by bank transfer at the time of order. In the event of non-payment by the due date indicated on invoices, penalties will be applied. In accordance with article L.441-6 of the French Commercial Code, partial or total non-payment of an invoice on a single due date will automatically and without formal notice result in the immediate payment of penalties equal to 3 times the current legal interest rate, plus 40.00 Euros for collection costs. If the purchaser has failed to meet his or her obligations under a previous order (in particular, failure to pay or late payment), we may refuse to sell unless the purchaser provides satisfactory guarantees or cash payment.
Reservation of title
We reserve ownership of the goods sold until full payment of the price in principle and interest. In the event of non-payment of the price on the agreed due date, we may take back the goods and the sale will be cancelled by operation of law if we see fit. Deposits already paid will be retained as compensation. Furthermore, the purchaser is responsible for the goods sold as soon as they are physically handed over, and the transfer of possession implies the transfer of risks. The purchaser therefore undertakes to take out an insurance policy covering the risks of loss, theft or destruction of the designated goods. The customer is therefore authorized to resell the goods before full payment has been made, provided that such resale is made by the customer on behalf of EUROSEP Instruments with a retention-of-title clause. EUROSEP Instruments may, by simple written notification and without formality, repossess the materials and goods wherever they may be, subject to damages, in particular for depreciation.
Returns
Returns are accepted only after prior written agreement from us following a request made to EUROSEP Instruments. If the return is accepted, the goods must be returned within a week, carriage paid. If no fault or error can be attributed to us, the credit note for the returned equipment will be established on the basis of 85% of the original invoice amount. Products found to be defective will, at our discretion, be replaced, credited or repaired. No returns will be accepted for specially manufactured equipment.
Warranty
It is the customer's responsibility to check the goods on delivery, in particular for references, quantities and quality, as well as their conformity with the order. The warranty is strictly limited to the repair or exchange of equipment found to be defective. In order to benefit from this contractual provision, the purchaser undertakes to justify his warranty claim in writing. Returns will only be accepted with our prior written agreement, following a request made to EUROSEP Instruments. The purchaser must give us every opportunity to ascertain and remedy any defects. The customer must refrain from carrying out repairs or having them carried out by a third party, except with our written agreement. All warranties are excluded for incidents due to fortuitous events or force majeure, as well as for replacement or repairs resulting from normal wear and tear of the equipment, deterioration or accidents due to negligence, lack of supervision or maintenance, and faulty use of this equipment or use not in compliance with our specifications.
Changes
The technical and commercial specifications of our catalogs, sales documents and price lists are subject to change without notice. We may also cease to sell certain items. In such cases, we shall not be obliged to supply articles which have been withdrawn or which contain old specifications.
Major events
The occurrence of a case of force majeure has the effect of suspending the performance of our contractual obligations. A case of force majeure is any event beyond our control which prevents the normal manufacture or shipment of products. Without this list being exhaustive, a case of force majeure includes, in particular, total or partial strikes hindering the smooth running of our company or those of one of our suppliers, subcontractors or carriers, as well as interruptions to transport, energy supplies, raw materials or spare parts.
Jurisdiction
All sales and services provided by EUROSEP Instruments are subject to French law and to the exclusive jurisdiction of the Tribunal de Commerce de Pontoise (France).
